1. Initial provisions
1.1 These Terms of Use of the Card Sharing Functionality govern the use of the card sharing functionality and, upon the acceptance of the Partner, shall form an integral part of the Agreement (the “Terms”). Capitalized words not defined in these Terms shall have the meaning ascribed to such words in the Agreement and Master Terms and Conditions.
2. Card Sharing Functionality
2.1 The card sharing functionality allows sharing of tokenized data related to credit, debit or any other payment card details of Customers (the “Card Data”) among the Partners that belong to the same group (the “Functionality”).
2.2 The Functionality is optional and is deactivated by default. The Functionality can only be activated for all Partners within the same group simultaneously; it cannot be activated selectively for individual Partners within the group.
2.3 The Functionality can be activated by (a) the Partner's admin, who also serves as the admin for all other Partners within the same group (“Authorised User”), upon acceptance of these Terms by the admin on behalf of all Partners, or by (b) Mews upon the documented instructions from all the Partners within the same group and upon their acceptance of these Terms.
2.4 By activating the Functionality, the Partner instructs Mews to start sharing the Card Data with other all the Partners belonging to the same group.
2.5 The Functionality can be deactivated (a) by the Authorised User or (b) by Mews upon the documented instruction of the Partners.
2.6 Upon deactivation of the Functionality, (a) the Card Data will no longer be shared amongst the Partners within the same group and (b) the Partner will lose access to the Card Data shared by other Partners during the period when the Functionality was active.
3. Representations and warranties
3.1 The Partner hereby represents and warrants that (a) it is solely responsible to ensure that the processing of Personal Data and Card Data (together as “Data”) of the Data Subjects related to the use of the Functionality fully complies with applicable laws and regulations, (b) it disposes with applicable legal basis for the processing of Data of Customers within the Functionality by Mews (c) it obtains and manages consents of Customers as Data Subjects with the processing of their Data in the Functionality by Mews, whenever necessary, (d) it has appropriate agreements in place to cover the data sharing in the Functionality, where necessary.
4. Indemnification
4.1 The Partner shall fully indemnify Mews for any and all losses, liabilities, costs (including reasonable legal costs), damages, expenses, fines and expenses (including reasonable attorneys’ fees) arising out of or related to the breach of any of the representations and warranties provided in these Terms.
5. Final Provisions
5.1 The Partner acknowledges and agrees that the Functionality is considered the 'Mews Service,' as defined in the Master Terms and Conditions. The Master Terms and Conditions shall apply to the use of the Functionality, and in case of any discrepancies between these Terms and the Master Terms and Conditions, these Terms shall prevail.
5.2 Mews reserves the right to modify these Terms at any time. Mews will make the best effort to notify the Partners at least 30 days prior to the changes taking effect. In case a change is required by applicable law, the notice period may be shortened at Mews' discretion. If the Partner disagrees with the revised terms, the Partners belonging to the same group may deactivate the Functionality. Continued use of the Functionality by the Partners will constitute acceptance of the revised Terms.
