Mews Compliance Suite – Product Terms of Use

1. INTRODUCTION

1.1. These Mews Compliance Suite – Product Terms of Use (the “Terms of Use”) govern the Partner's use of the Mews Compliance Suite as a Mews Add-On and constitute the Integration's Terms of Use under the Mews Marketplace Terms of Service. These Terms of Use apply in conjunction with, and are subject to, the Mews Marketplace Terms of Service and the Mews Master Terms and Conditions. In the event of conflict, the order of priority in the Mews Marketplace Terms of Service shall apply.

1.2. The Partner agrees to be bound by these Terms of Use by confirming its agreement in the Mews Platform, by purchasing the Mews Compliance Suite in the Mews Marketplace, or by continuing to use the Mews Compliance Suite after 15 December 2026.

1.3. From the date of acceptance, these Terms of Use replace the Mews Electronic Invoicing Integration – Product Terms of Use for each Property for which the Partner accepted them. Fees already payable for those Properties continue unchanged, as set out in the Product Documentation.

2. DEFINITIONS

2.1. In these Terms of Use, the following definitions apply:

(a) “Mews Compliance Suite” means this Mews Add-On, as described in the Product Documentation, comprising the tax, e-invoicing, e-reporting, fiscalisation and other compliance-related features, integrations and services that Mews makes available as part of it for the country of each Property from time to time, whether delivered within Mews Operations or enabled through the Mews Marketplace, including tax rate automation (“Tax Automation”), tax reporting (“Tax Intelligence”) and e-invoicing, e-reporting and fiscalisation integrations (“Fiscal Integrations”).

(b) "Product Documentation" means the Mews Compliance Suite product documentation available at https://help.mews.com/s/topic/0TOQC000002Vvbx4AC/product-documentation, as updated by Mews from time to time, which forms part of these Terms of Use in respect of the description of the Mews Compliance Suite, availability by country, indicative release dates, Fees, billing, migration and opt-out arrangements, the Partner's set-up requirements and the third-party providers used. Other content on help.mews.com, including articles linked from the Product Documentation, is provided for information only.

(c) “Third-Party Data” means tax rates, tax rules and related data obtained by Mews from third-party providers and applied through Tax Automation.

2.2. All other capitalised terms not defined in these Terms of Use have the meaning given in the Mews Marketplace Terms of Service or the Mews Master Terms and Conditions, as applicable.

3. NATURE AND SCOPE OF THE ADD-ON

3.1. The Mews Compliance Suite is a software tool provided to support the Partner in meeting its own tax, e-invoicing and fiscal obligations. It does not transfer those tax obligations to Mews. Mews does not provide tax, tax advisory, accounting or legal services. Tax Intelligence is a reporting tool that helps the Partner prepare its own reports by automatically gathering and presenting data from the Mews Platform that the Partner would otherwise collect manually.

3.2. Mews may add features, integrations or services to the Mews Compliance Suite from time to time, as described in the Product Documentation. These Terms of Use apply to them from the date they are made available to the Partner.

3.3. Reports, figures, variances and exemption records generated by Tax Intelligence are compiled automatically from the Partner's data and configuration, for the Partner's review. They are not tax returns, declarations, certifications or audit opinions and do not constitute tax, legal or accounting advice. Tax Intelligence applies the methodology described in the Product Documentation (including counting only stays for which all bills are closed, in the month of check-out), which may differ from the basis on which the Partner must compute or report tax in its jurisdiction. The Partner uses, and relies on, the Mews Compliance Suite and all information, rates, reports and other outputs it provides at its own discretion and risk. The Partner must consult a qualified tax adviser or the competent tax authority to verify their accuracy, completeness and suitability for the Partner’s circumstances before relying on or filing them.

4.FEES AND PAYMENT

4.1. Fees for the Mews Compliance Suite are set out in the Mews Platform, the Mews Marketplace or the applicable Agreement.

4.2. Mews may adjust Fees in accordance with the Mews Marketplace Terms of Service. Continued use of the Mews Compliance Suite after the effective date of any fee change notified in accordance with those terms constitutes acceptance.

5. TAX AUTOMATION AND THIRD-PARTY DATA

5.1. Mews does not warrant that Third-Party Data is complete, accurate, current or applicable to any Property. Mews will use reasonable efforts to apply updates promptly after receiving them.

6. PARTNER RESPONSIBILITIES AND USE OF DATA

6.1.  The Partner is solely responsible for:

(a) determining and complying with the taxes, rates, exemptions, and e-invoicing, e-reporting, fiscalisation, archiving and reporting obligations that apply to each Property;

(b) the accuracy and completeness of all Property details, company and customer identifiers and other data entered in the Mews Platform;

(c) reviewing its tax configuration, rates, reports, fiscal records and invoice statuses before relying on them;

(d) preparing, submitting and filing its tax returns and declarations, and paying all taxes when due;

(e) obtaining its own professional tax advice, including independent verification by a qualified tax expert of the accuracy and suitability of the tax configuration, rates, reports and other outputs of the Mews Compliance Suite; and

(f) maintaining its tax configuration in the Mews Platform where Tax Automation is not set up or is disabled, or the Mews Compliance Suite is removed.

6.2. Mews shall not be liable for errors, rejections, or non-delivery resulting from inaccurate or incomplete data provided by the Partner.

6.3. The Partner shall record tax exemptions using the reason codes provided in the Mews Platform and shall not enter details of a guest's health or other special categories of personal data in any free-text field or attachment.

6.4. Where reports or exports from the Mews Compliance Suite are sent to the Partner’s accountant or any other recipient, this is done on the Partner’s instruction. The Partner is responsible for the choice of recipient and for having a lawful basis for the disclosure.

6.5. To the extent Mews processes Personal Data within the scope of the Mews Compliance Suite, it does so as Processor in accordance with the Data Processing Addendum. Where a third-party provider processes Personal Data on behalf of Mews, it is a Sub-processor under the Data Processing Addendum and is notified in accordance with it.

6.6. The Partner represents and warrants that it and any person submitting data through the Mews Compliance Suite on its behalf have all necessary rights to do so.

6.7. The Partner shall defend, indemnify, and hold harmless Mews and its affiliates, officers, directors, employees, and agents from and against any action, proceeding, or claim by a third party arising from or relating to:

(a) any data, content, or materials submitted by the Partner through the Mews Compliance Suite that violate, misappropriate, or otherwise infringe upon any third party's intellectual property or other proprietary rights;

(b) the Partner’s breach of applicable law and regulatory obligations; or

(c) the Partner's use of the Mews Compliance Suite or the Partner's breach or alleged breach of these Terms of Use,
provided that the Partner's indemnification obligations under this clause are subject to Mews providing the Partner with prompt written notice of any such claim, reasonable cooperation in the defence thereof, and sole control of the defence and settlement of such claim.

7. THIRD-PARTY PROVIDERS AND PERMITTED USE

7.1. The Partner acknowledges that the Mews Compliance Suite relies on third-party service providers, as listed in the Product Documentation. Mews is the sole contracting party with such providers, and the Partner has no direct contractual relationship with them.

7.2. The Partner shall use the Mews Compliance Suite solely for its own subscribed Properties, in the countries where it is available, and in accordance with applicable law. The Partner shall not generate or transmit fraudulent, misleading, or materially inaccurate invoices or fiscal records.

8. WARRANTIES AND DISCLAIMER

8.1. In addition to the warranty disclaimers in the Mews Master Terms and Conditions, Mews does not warrant that the Mews Compliance Suite will satisfy the Partner's obligations under any applicable tax, e-invoicing, e-reporting, fiscalisation, bookkeeping, archiving or reporting legislation, or that any feature, integration or service will be available by a particular date, including any date on which a legal obligation takes effect.

8.2. Mews is not a tax adviser, accountant, bookkeeper or tax compliance service, and does not provide legal, tax, or accounting advice. The Mews Compliance Suite and its outputs are not tax, tax advisory, legal or accounting services, and no advisory or professional relationship arises between Mews and the Partner from their use. To the fullest extent permitted by applicable law, Mews assumes no responsibility or liability as a tax adviser. Mews does not determine the Partner's tax liability, tax treatment or exemptions. Mews does not prepare, sign, submit or file tax returns or declarations, remit taxes, certify accounts, or act on behalf of or represent the Partner before any tax authority. The transmission of invoices and fiscal records to tax authorities through the Fiscal Integrations is carried out on the Partner’s instruction and, where required, using the Partner’s credentials, certificates or registrations, and does not make Mews the Partner’s tax representative.

9. EXCLUSION OF LIABILITY

9.1. The limitations and exclusions of liability in the Mews Master Terms and Conditions apply to the Mews Compliance Suite. In addition, to the extent permitted by applicable law, Mews shall not be liable for any taxes, interest, penalties, surcharges or assessments imposed on the Partner, or for any amounts collected from, refunded to or owed to guests, which remain the Partner's responsibility, except to the extent directly caused by Mews' breach of these Terms of Use. Where that exception applies, Mews’ liability remains subject to the limitations and exclusions in the Mews Master Terms and Conditions.

9.2. Without prejudice to the exception in clause 9.1 and to the fullest extent permitted by applicable law, Mews shall not be liable for any loss arising from the Partner’s use of, or reliance on, information, rates, reports or other outputs of the Mews Compliance Suite without independent verification by a qualified tax adviser, and no such loss may be attributed to Mews as the provider of tax or tax advisory services, which Mews does not provide.

9.3. Subject to the section on Tax Automation and Third-Party Data above and to the extent permitted by applicable law, Mews shall not be liable for errors or delays in Third-Party Data, or for any unavailability of third-party providers, tax authority systems or networks.

10. SUPPORT

10.1. Unless otherwise agreed, Mews will provide first-level support for the Mews Compliance Suite on a commercially reasonable basis with no guaranteed response or resolution times. Any service level agreement for other Mews Services shall not apply to the Mews Compliance Suite. In addition, scope and availability may be subject to the third-party provider's platform capabilities.

11. TERM, TERMINATION, AND CANCELLATION

11.1. The Partner may remove the Mews Compliance Suite for a Property in the Mews Marketplace at any time, with effect as set out in the Product Documentation. This applies notwithstanding any provision of the Mews Master Terms and Conditions that makes add-ons coterminous with the Subscription Term.

11.2. Mews may suspend, terminate or remove the Mews Compliance Suite in accordance with the Mews Master Terms and Conditions and the Mews Marketplace Terms of Service.

11.3. Upon termination or expiry, Mews will cease providing, and the Partner will cease accessing, the Mews Compliance Suite. The Partner should export the reports and fiscal records it needs before removal. Data export or transitional assistance will follow Mews' standard offboarding procedures. The Partner remains responsible for all accrued Fees up to the date of termination.

12. MISCELLANEOUS

12.1. Mews may change these Terms of Use at its sole discretion at any time. Mews will use its best efforts to notify the Partner of any changes to these Terms of Use in advance. If the Partner does not agree with the amended Terms of Use, it may stop using the Mews Compliance Suite before the effective date of the amended Terms of Use. Continued use of the Mews Compliance Suite after the effective date constitutes acceptance of the revised Terms of Use.
